1. Description of Services

Syntec Solutions Ltd provides:

• Consulting, support, and training for HansaWorld Standard ERP software
• Bespoke programming and software development services
• Business automation and integration solutions
• Software distribution and update services for client applications
• Web-based tools and portals for registered users

2. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

• Account Security: You are responsible for safeguarding the password used to access the Service and for any activities under your account.
• Notification: You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
• Restrictions: You may not use as a username the name of another person or entity without appropriate authorization, or a name that is offensive, vulgar, or obscene.

3. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation
• To transmit any material that is defamatory, offensive, or otherwise objectionable
• To impersonate or attempt to impersonate Syntec Solutions, an employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce any viruses, trojan horses, worms, or other material which is malicious or technologically harmful
• To attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Syntec Solutions Ltd and its licensors. The Service is protected by copyright, trademark, and other laws.

• Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.
• All software, code, and documentation provided through the Service remain our property or that of our licensors.
• You may not copy, modify, distribute, sell, or lease any part of our Services without explicit permission.

5. Client Software and Downloads

Software applications provided through our Service (including but not limited to Freefoam PO Scanner, Stocktake, and Picking applications) are licensed, not sold:

• Licenses are granted on a per-user or per-organization basis as specified in your service agreement.
• You may not reverse engineer, decompile, or disassemble the software except as permitted by law.
• Updates may be provided automatically; continued use constitutes acceptance of updated terms.
• We reserve the right to modify or discontinue software with reasonable notice.

6. Payment and Billing

For paid services:

• Fees are due as specified in your service agreement or invoice.
• All fees are exclusive of taxes unless otherwise stated.
• Failure to pay may result in suspension or termination of services.
• Refunds are provided only as specified in your service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Syntec Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid us in the twelve (12) months prior to the cause of action.
• We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
• We are not responsible for any loss of data, profits, or business opportunities.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Syntec Solutions Ltd makes no warranties, expressed or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Non-infringement of intellectual property rights
• Accuracy, reliability, or completeness of any content

9. Indemnification

You agree to defend, indemnify, and hold harmless Syntec Solutions Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms of Service
• Non-payment of fees when due
• Request by law enforcement or government agencies
• Discontinuance or material modification of the Service

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
